*NOTE: This website, https://async-await.com, is a demo of our open source web app: Async. Some of the terms below are related to use of Async as a working SaaS product.*

Welcome to Async (“Service”, “Product”), owned and operated by Async Labs, LLC (“Company”, “we”, “our”, “us”). These Terms of Service (“Terms”, “Terms of Service”) govern your use of our web pages and application located at https://async-await.com and any of its subdomains. These Terms apply to all visitors who access and or use our Service. By using our Service, you acknowledge that you understand these Terms and agree to follow them. If you do not agree or cannot comply with our Terms, then you may not use our Service.

Summary

You are responsible for maintaining your account with Async, and you are responsible for all content you add to Async.

Payments on Async are securely processed by Stripe.

You can delete your account with Async at any time.

You may not use the Service for any illegal purpose.

If you violate our Terms, we can terminate your account at any time.

Accounts

Users sign up on Async via passwordless login. To create an account, you must be a human. Accounts registered by bots or automated methods are not allowed. You are responsible for maintaining your account with Async.

Async has two types of accounts: a” Team Leader” and a “Team Member”. A “Team Leader” is a user who creates a “Team” and invites other users to join this Team. Those users who join the team are “Team Members”.

As a Team Leader, you can invite any number of Team Members to join your Team.

To be a Team Member of a Team on Async, the Team Leader of that Team must send you an invitation to join the Team. The invitation will contain a unique login URL. You must access this URL and login from it to create your Team Member account on Async.

You, as a Team Leader or a Team Member, can delete your account from Async at any time.

If you violate these terms of service, we may terminate your account.

Payments

When you sign up as a Team Leader on Async, your account will start with a free trial for 30 days. After this free trial, usage of the Service costs $5 per user per month (“subscription”). If you fail to pay the subscription after your free trial is over, all activity in your account, for you and any Team Members you add, will be blocked until payment is made.

We securely process all payments through Stripe (https://stripe.com/). When you make a payment on Async, you may be subject to terms and conditions governing the use of Stripe’s service and personal information collection practices. Please review Stripe’s terms and conditions and privacy policy.

We do not offer refunds.

Content

You are responsible for all content, including its legality and appropriateness, posted under your account. We do not take any responsibility for content you post under your account.

Prohibited Uses

You agree not to use Async:

In any way that violates national or international law or regulation.

To exploit, harm, or attempt to exploit or harm minors in any way.

To transmit, or procure the sending of, any advertising or promotional material, including “spam” or similar solicitation.

To impersonate or attempt to impersonate a Company, a Company employee, another user, or any other person or entity.

In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of our Service, or which, as determined by us, may harm or offend our Company or users of our Service or expose them to liability.

Additionally, you agree not to:

Use our Service in any manner that could disable, overburden, damage, or impair our Service or interfere with any other party’s use of our Service.

Use any robot, spider, or other automatic device, process, or means to access our Service for any purpose.

Use any manual process to monitor or copy any of the material on our Service.

Use any device, software, or routine that interferes with the proper working of our Service.

Introduce any viruses or other material which is malicious or technologically harmful.

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Service, the server on which Service is stored, or any server, computer, or database connected to our Service.

Attack Service via a denial-of-service attack or a distributed denial-of-service attack.

Take any action that may damage or falsify our Company rating.

Otherwise attempt to interfere with the proper working of our Service.

All content you post on Async must comply with U.S. copyright law. We claim no intellectual property rights over the data you provide to Async, and we do not pre-screen content. All data is owned by you and remains yours.

The names, look, and feel of Async are copyright© to the Company. All rights reserved. You may not duplicate, copy, sell, reuse, or exploit any portion of our code, visual design elements, or logo without written permission from us. We reserve the right to rescind permission if you violate these Terms of Service.

You may not modify another website so as to falsely imply that it is associated with our Service or Company.

Warranty

Async is provided on an “as is” and “as available” basis. Company makes no representations or warranties as to the operation of the Service, or the information, content or materials included therein. You agree that your use of our Service, its content, and any services or items obtained from us is at your sole risk.

We do not make any warranty that our Service, its content, or any services or items obtained through our Service will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, or that the Service or any services or items obtained through our Service will otherwise meet your needs or expectations.

We hereby disclaim all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose.

Liability

In no event will Async be liable to you or to any third party for any direct, indirect, incidental, special, consequential, punitive or exemplary damages arising out of or relating to your access to or use of our Service, or your inability to access or use our Service. This includes, but is not limited to, damages for loss of profits, goodwill, use, data or other intangible losses. even if the Company has been advised of the possibility of such damages.

Changes to Terms of Service

We may revise these Terms at any time by posting the revised Terms on this site. Your continued use of Async after the posting of revised Terms means that you accept and agree to the changes. It is your responsibility to review these Terms periodically.

By continuing to access or use Async after any revisions to our Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to access or use Async.
